Paypercut for Startups – Supplemental Terms & Conditions

These Paypercut for Startups Supplemental Terms & Conditions (“Startup Terms”) apply to merchants participating in the Paypercut for Startups Program (“Program”) operated by Paypercut EOOD (“Paypercut”, “we”, “our”, “us”).

These Startup Terms supplement the Paypercut Merchant Terms and Conditions Version 1.4 (the “Merchant Agreement”). Terms used in these Startup Terms have the same meaning as defined in the Merchant Agreement unless otherwise defined in these Startup Terms. In the event of any conflict between these Startup Terms and the Merchant Agreement, these Startup Terms will prevail solely with respect to the Program benefits.

By registering for the Program, the merchant (“Startup”, “you”, “your”) agrees to these Startup Terms.

1. Program Overview

The Program provides eligible early-stage startups with certain fee waivers and fee reductions when using payment processing services provided by Paypercut under the terms of the Merchant Agreement. 

You agree to participate in the Program in good faith and in accordance with its intended purpose which is to support genuine early-stage businesses processing legitimate customer payments.

Participation in the Program is subject to eligibility review and approval by Paypercut.

2. Eligibility

2.1. Primary Eligibility Criteria.
To participate in the Program, you must:
- Be a legally registered business entity with a live website.
- Be in an early-stage phase, including Idea, MVP, First Clients or Early Scaling.
- Register with Paypercut either: (a) through an approved Paypercut partner, accelerator, venture capital firm, ecosystem organisation, or official Program registration channel; or (b) directly with Paypercut.
- Complete the Program application form and provide us requested information including:
        - Company website.
        - Founding date.
        - Company description.
        - Funding information.
        - Media or public references (if available).

Paypercut reserves the right to accept or reject an application at its sole discretion. Paypercut may also limit participation to start ups in specific jurisdictions or industries depending on regulatory or risk considerations.

2.2. Multiple Entity/Founder Re-Enrolment Restriction

To prevent repeated use of Program benefits through multiple business registrations, the Program is limited to one eligible startup per founding team or controlling ownership group. For the purposes of the Program, Paypercut may consider entities to be related if they share:
- Founders, directors, or key executives.
- Majority shareholders or controlling interests.
- Beneficial ownership.
- Substantially similar business operations, brands, or websites.
- Shared infrastructure, payment flows, or operational control.

Where we reasonably determine that multiple entities are controlled by the same founders or ownership group, we may:
- Limit Program eligibility to one entity only.
- Terminate Program benefits for additional entities.

We may also decline applications where the Program is used to restructure or relaunch substantially similar businesses to obtain additional Program benefits.

Genuine Startup Qualification.

The Program is intended exclusively for early-stage startups. Companies that are already operating at scale or that primarily act as subsidiaries, special purpose vehicles, or operating entities of established businesses may not qualify. We will assess startup maturity based on reasonable commercial indicators, including:
- Historical transaction volumes.
- Employee count.
- Capital raised.
- Operational history.
- Corporate structure.

If a Startup is determined to fall outside the intended scope of the Program, Paypercut may withdraw Program benefits and reclassify the account to its standard Fees under the terms of the Merchant Agreement.
3. Program Duration
The Program lasts for 24 months from your successful registration date with Paypercut (“Program Period”) and is structured in three phases.

3.1 Phase 1 Launchpad Months 1 to 6.

During the first six (6) months of the Program Period commencing on your successful registration:
- Paypercut will waive Fees payable by you under Section 5.1.1 of the Merchant Agreement and apply 0% transaction fees on the total transaction volume processed by you up to a maximum of €10,000 per calendar month, in your selected eligible currency.
- The monthly fee waiver does not roll over, and any unused fee waiver expires at the end of each calendar month. 
- For transaction volumes exceeding €10,000 per calendar month, the reduced Program pricing schedule contemplated in Section 3.2 applies to calculating the Fees then payable by you.

3.2 Phase 2 Growth Phase Months 7 to 24.

From month seven (7) through to month twenty four (24) of the Program Period, the following reduced Fees are payable by you:

3.4. Phase 3 Standard Pricing Month 25 onwards.

After the 24-month Program Period expires, your account will automatically transition to, and you will be liable for, Paypercut’s standard pricing under the Fee Schedule of the Merchant Agreement (unless a separate commercial agreement is agreed between you and Paypercut).

3.4. Eligible Currency.

At the time of registering for the Program, you must select one primary processing currency eligible for the Phase 1 benefits. Only transactions processed in your selected currency qualify for the Phase 1 fee waiver. Transactions processed in other currencies will be charged according to the reduced Program pricing schedule set out in Section 3.2.

3.5. Aggregate Program Cap.

The aggregate value of waived or reduced Fees payable by Startup during the Program Period is capped at €10,000 and once this cap is reached, you agree that the standard Paypercut pricing will apply for the remainder of the Program Period to all transaction volumes processed unless we otherwise agree.
4. Program Limits
Program benefits are subject to the following limitations:
- Aggregate Program cap: €10,000 total fee savings as set out in Section 3.5.
- Maximum duration: 24 months.
- Monthly fee waiver limit: €10,000 total transaction volume processed by you per month during Phase 1.

Program benefits:
- Cannot be transferred.
- Cannot be exchanged for cash.
- Cannot be combined with other promotional programs unless explicitly approved by Paypercut.
5. Compliance & Account Approval
Your participation in the Program is not guaranteed until you successfully complete our registration process and our due diligence checks including:
- Identity verification.
- Business verification.
- Regulatory compliance checks.
- Risk assessment procedures.

Paypercut reserves the right to suspend or terminate Program participation if:
- You fail or breach compliance requirements.
- Your business operates in a restricted or prohibited category.
- Your account is involved in fraud, excessive disputes, or regulatory risk.
6. Program Changes or Termination
We may modify, suspend, or terminate the Program at any time.

However, approved Startups already participating in the Program will continue receiving benefits for the remainder of their Program Period unless the merchant account is terminated in accordance with the Merchant Agreement.

We may update these Startup Terms periodically. Updates will be communicated through the Paypercut website or your merchant dashboard.
7. Misuse of Program
7.1. Prevention of Abuse and Artificial Transaction Structuring.

Paypercut provides the Program benefits solely to support legitimate commercial activity by early-stage businesses. Paypercut reserves the right to interpret and apply the Program rules in a manner consistent with the Program’s purpose of supporting legitimate early-stage startups.You must not use the Program to artificially obtain fee waivers or reductions. You must not establish or use multiple entities, brands, websites, or merchant accounts for the purpose of:

- Resetting the Program’s €10,000 fee waiver limits.
- Extending the 24-month Program duration.
- Obtaining multiple instances of the Paypercut for Startups benefits.
- Avoiding pricing thresholds or transaction-based fee structures.

We reserve the right to revoke Program benefits if we determine that you have:
- Provided false or misleading information during the application process.
- Artificially structured transactions to maximize Program benefits.
- Used the Program in a manner inconsistent with its intended purpose.

7.2. Prohibited Activity. 

You agree not to engage in any activity intended to exploit, manipulate, or improperly benefit from the Program benefits, including (but not limited to):
- Transaction Splitting: Deliberately dividing a single payment into multiple smaller transactions to remain below the monthly €10,000 fee-free processing threshold.
- Pass-Through Processing: Using the Paypercut account primarily to process payments on behalf of third parties, platforms, or unrelated businesses not disclosed during the onboarding process.
- Program Stacking or Multiple Registrations: Attempting to obtain additional Program benefits by registering multiple merchant accounts, legal entities, or brands that are substantially controlled by the same founders, shareholders, or operators.You agree to accurately disclose any affiliated entities or brands that may process payments through Paypercut. Failure to disclose materially related entities may be considered misrepresentation during the onboarding process and may result in the revocation of Program benefits.

7.3. Affiliated Merchant Accounts & Aggregated Processing Activity.

To maintain the integrity of the Program, you must not create or operate multiple Paypercut merchant accounts for the purpose of circumventing Program limits, promotional benefits, transaction thresholds, or pricing tiers. For the purposes of these Terms, affiliated merchant accounts are merchant accounts that are reasonably determined by us to be related through common ownership, management, control, or operational relationship. Where we determine that multiple merchant accounts are affiliated, we may, at our sole discretion:
- Aggregate transaction volumes across affiliated accounts when determining eligibility for Program benefits, fee waivers, or pricing tiers.
- Limit Program participation to a single eligible merchant account within the affiliated group.

7.4. Paypercut Monitoring & Enforcement.

We monitor transaction patterns, merchant activity, and account behaviour to detect potential misuse of the Program. If we reasonably determine that you have engaged in a prohibited activity or violated these provisions, we may, in our sole discretion:
- Revoke Program benefits immediately.
- Retroactively apply standard transaction fees to affected transactions.
- Deduct unpaid fees from the merchant balance.
- Suspend or terminate your merchant account.

Our determination of Program misuse will be based on reasonable internal risk and compliance assessment, which may include transaction analysis, relationship mapping, and fraud monitoring tools. 

Where activity appears inconsistent with the intended use of the Program, we may take appropriate action, including adjusting benefits, applying standard pricing, or terminating Program participation.

7.5. Retroactive Fee Adjustment.

Where Program abuse is identified, we reserve the right to revoke your Program benefits recalculate fees for all affected transactions using the applicable standard pricing payable by you under the standard Fee Schedule of the Merchant Agreement and recover any unpaid amounts from you. We may apply such recalculation retroactively to the beginning of the Program Period if your misuse materially impacted the Program benefit calculations.
8. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, or consequential damages arising from your participation in the Program. 

Program benefits are provided on a promotional basis and do not create a guarantee of service availability, financial performance, or business outcomes.
9. Governing Agreement
All services provided by us to you remain governed by the Paypercut Merchant Services Agreement.

These Startup Terms apply solely to the promotional pricing and benefits associated with the Paypercut for Startups Program.
